Terms of Service for Aadi

1. Introduction

Welcome to Aadi, a game aggregator and questing platform for both web2 and web3 users. These Terms of Service ("Terms") govern your access to and use of Aadi's website, mobile applications, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Platform.

1.1 Acceptance of Terms

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case the terms "you" or "your" shall refer to such entity.

1.2 Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any significant changes by posting the new Terms on the Platform, updating the "Last Updated" date at the top of this page, or sending you a notification. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

1.3 Supplemental Terms

Supplemental terms may apply to certain services, such as policies for a particular event, program, activity, or promotion. Supplemental terms will be disclosed to you in connection with the applicable services. Any supplemental terms are in addition to, and shall be deemed a part of, these Terms for the purposes of the applicable services.

2. Intellectual Property

2.1 Ownership

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Aadi, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

2.2 License to Use

Subject to these Terms, Aadi grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your personal, non-commercial use. This license does not include any resale or commercial use of the Platform or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Platform or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.

2.3 Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

• Your computer may temporarily store copies of such materials incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

2.4 Trademarks

The Aadi name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Aadi or its affiliates or licensors. You must not use such marks without the prior written permission of Aadi. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.

3. User Representations

By using the Platform, you represent and warrant that:

• You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher.
• You have the legal capacity to enter into these Terms and to comply with them.
• You will use the Platform for lawful purposes only and in accordance with these Terms.
• All information you provide to register with the Platform or otherwise is true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update it as necessary.
• You will not access the Platform through automated or non-human means, whether through a bot, script, or otherwise, unless explicitly permitted by Aadi.
• You will not use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform.

4. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Copying, distributing, or disclosing any part of the Platform in any medium, including without limitation by any automated or non-automated "scraping".
• Using any automated system, including without limitation "robots," "spiders," "offline readers," etc., to access the Platform.
• Transmitting spam, chain letters, or other unsolicited email.
• Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Platform.
• Taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure.
• Uploading invalid data, viruses, worms, or other software agents through the Platform.
• Collecting or harvesting any personally identifiable information, including account names, from the Platform.
• Using the Platform for any commercial solicitation purposes.
• Impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity.
• Interfering with the proper working of the Platform.
• Accessing any content on the Platform through any technology or means other than those provided or authorized by the Platform.
• Bypassing the measures we may use to prevent or restrict access to the Platform, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Platform or the content therein.

5. User Generated Contributions

5.1 Definition

The Platform may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Platform, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions").

5.2 Responsibility

Any Contributions you transmit to the Platform will be treated as non-confidential and non-proprietary. By providing any Contribution to the Platform, you warrant that:

• The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
• You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Platform, and other users of the Platform to use your Contributions in any manner contemplated by the Platform and these Terms.
• You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Platform and these Terms.
• Your Contributions are not false, inaccurate, or misleading.
• Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
• Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
• Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
• Your Contributions do not advocate the violent overthrow of any government or incite, encourage, or threaten physical harm against another.
• Your Contributions do not violate any applicable law, regulation, or rule.
• Your Contributions do not violate the privacy or publicity rights of any third party.
• Your Contributions do not contain any material that solicits personal information from anyone under the age of 18 or exploits people under the age of 18 in a sexual or violent manner.
• Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
• Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
• Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms, or any applicable law or regulation.

6. Contribution License

6.1 License Grant

By posting your Contributions to any part of the Platform, you automatically grant, and you represent and warrant that you have the right to grant, to Aadi an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing.

6.2 Removal of Contributions

Aadi has the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations on the Platform; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.

7. Questing and Rewards

7.1 Quest Participation

Aadi offers various quests and challenges ("Quests") that users can participate in. By engaging in these Quests, you agree to abide by the specific rules and requirements set for each Quest.

7.2 Quest Eligibility

Eligibility for Quests may vary based on factors such as user level, account status, or specific Quest requirements. Aadi reserves the right to determine and modify eligibility criteria at any time.

7.3 Quest Rewards

Successful completion of Quests may result in rewards, which can include but are not limited to in-game items, virtual currency, or other digital assets ("Rewards"). The type and value of Rewards are at Aadi's sole discretion and may vary between Quests.

7.4 Reward Distribution

Rewards will be distributed to your Aadi account upon successful Quest completion and verification. The timing of Reward distribution may vary and is subject to Aadi's processes and systems.

7.5 Reward Ownership

All Rewards are digital assets owned and controlled by Aadi. You are granted a limited, non-transferable right to use these Rewards within the Aadi platform, subject to these Terms and any additional terms specific to the Reward.

7.6 Reward Restrictions

Rewards cannot be transferred, sold, or exchanged for real-world currency or value outside of the Aadi platform, unless explicitly permitted by Aadi. Any attempt to do so may result in the forfeiture of the Rewards and possible suspension or termination of your account.

7.7 Quest and Reward Modifications

Aadi reserves the right to modify, suspend, or terminate any Quest or Reward at any time, for any reason, without prior notice. This includes changes to Quest requirements, Reward types, or Reward values.

7.8 Fraudulent Activity

Any attempt to manipulate, exploit, or abuse the Quest or Reward systems, including but not limited to the use of multiple accounts, automated systems, or any form of cheating, is strictly prohibited. Such actions may result in the forfeiture of Rewards, suspension or termination of your account, and potential legal action.

7.9 Tax Implications

You are solely responsible for any tax implications that may arise from receiving or using Rewards. Aadi does not provide tax advice and recommends consulting with a tax professional for any questions regarding the tax treatment of Rewards.

7.10 Web3 Integration

For Quests or Rewards that involve blockchain technology or cryptocurrencies, additional terms may apply. These may include specific wallet requirements, gas fees, or other blockchain-related considerations. You are responsible for understanding and complying with any such additional requirements.

7.11 Third-Party Games

Some Quests may involve participation in third-party games or platforms. In such cases, you agree to comply with the terms of service and rules of those third-party platforms in addition to Aadi's Terms.

7.12 Reward Expiration

Unless otherwise stated, Rewards do not expire. However, Aadi reserves the right to implement expiration dates on Rewards with appropriate notice to users.

7.13 Quest Data

Aadi may collect and use data related to your Quest participation for purposes including but not limited to improving user experience, analyzing platform performance, and detecting fraudulent activity. This data collection and use is subject to our Privacy Policy.

7.14 Dispute Resolution

Any disputes regarding Quests or Rewards will be resolved in accordance with the Dispute Resolution section of these Terms.

By participating in Quests and accepting Rewards, you acknowledge that you have read, understood, and agree to abide by these terms related to Questing and Rewards.

8. Mobile Application License

8.1 License Grant

If you access Aadi via a mobile application, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, subject to these Terms.

8.2 Prohibitions

You shall not: (a) decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application; (b) make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application; (c) violate any applicable laws, rules, or regulations in connection with your access or use of the application; (d) remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us or the licensors of the application; (e) use the application for any revenue-generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended; (f) make the application available over a network or other environment permitting access or use by multiple devices or users at the same time; (g) use the application for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the application; (h) use the application to send automated queries to any website or to send any unsolicited commercial e-mail; or (i) use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the application.

9. Apple and Android Devices

9.1 Mobile Application Terms

The following terms apply when you use a mobile application obtained from either the Apple Store or Google Play to access Aadi: (a) the license granted to you for our mobile application is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating system, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor's terms of service; (b) we are responsible for providing any maintenance and support services with respect to the mobile application as specified in these Terms or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the mobile application; (c) in the event of any failure of the mobile application to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the mobile application, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever with respect to the mobile application; (d) you represent and warrant that (i) you are not located in a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country and (ii) you are not listed on any U.S. government list of prohibited or restricted parties; (e) you must comply with applicable third-party terms of agreement when using the mobile application; and (f) you acknowledge and agree that the App Distributors are third-party beneficiaries of these Terms, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

10. Social Media

10.1 Linking Accounts

As part of the functionality of Aadi, you may link your account with online accounts you have with third-party service providers (each such account, a "Third-Party Account") by either: (a) providing your Third-Party Account login information through Aadi; or (b) allowing us to access your Third-Party Account, as permitted under the applicable terms and conditions that govern your use of each Third-Party Account.

10.2 Representations and Warranties

You represent and warrant that you are entitled to disclose your Third-Party Account login information to us and/or grant us access to your Third-Party Account without breaching any terms and conditions governing your use of the applicable Third-Party Account, and without obligating us to pay any fees or making us subject to any usage limitations imposed by the third-party service provider of the Third-Party Account.

10.3 Access to Social Network Content

By granting us access to any Third-Party Accounts, you understand that (a) we may access, make available, and store any content you have provided to and stored in your Third-Party Account ("Social Network Content") so that it is available on and through Aadi via your account; and (b) we may submit to and receive from your Third-Party Account additional information to the extent you are notified when you link your account with the Third-Party Account.

10.4 Availability of Social Network Content

Depending on the Third-Party Accounts you choose and subject to the privacy settings you have set in such accounts, personally identifiable information that you post to your Third-Party Accounts may be available on and through your account on Aadi. If a Third-Party Account or associated service becomes unavailable, or our access to such Third-Party Account is terminated by the third-party service provider, then Social Network Content may no longer be available on and through Aadi.

11. Submissions

11.1 Ownership of Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding Aadi ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

11.2 Moral Rights Waiver

You hereby waive all moral rights to any such Submissions and warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

12. Third-Party Websites and Content

12.1 Third-Party Links

Aadi may contain links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, and other content belonging to or originating from third parties ("Third-Party Content").

12.2 No Responsibility for Third-Party Content

Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us. We are not responsible for any Third-Party Websites accessed through Aadi or any Third-Party Content posted on, available through, or installed from Aadi.

12.3 No Endorsement

Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave Aadi and access the Third-Party Websites, you do so at your own risk.

12.4 Third-Party Purchases

Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party.

13. Advertisers

13.1 Ads

We allow advertisers to display their advertisements in certain areas of Aadi. If you are an advertiser, you shall take full responsibility for any advertisements you place on Aadi and any services provided or products sold through those advertisements.

13.2 Warranties

As an advertiser, you warrant that you possess all rights and authority to place advertisements on Aadi, including, but not limited to, intellectual property rights, publicity rights, and contractual rights.

13.3 Relationship with Advertisers

We simply provide the space to place such advertisements and have no other relationship with advertisers.

14. Site Management

14.1 Management Rights

We reserve the right, but not the obligation, to monitor Aadi for violations of these Terms and to take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms.

14.2 Content Removal

We may refuse, restrict access to, limit the availability of, or disable any of your Contributions or any portion thereof at our sole discretion.

14.3 System Management

We may remove from Aadi or disable all files and content that are excessive in size or are in any way burdensome to our systems and otherwise manage Aadi to protect our rights and property and facilitate its proper functioning.

15. Dispute Resolution

15.1 Informal Resolution

In the event of any dispute arising out of or relating to these Terms or your use of Aadi, you agree to first attempt to resolve the dispute informally by contacting us. If we are unable to resolve the dispute informally, both parties agree to submit to binding arbitration.

15.2 Arbitration

The arbitration will be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [Insert Location], unless otherwise agreed upon by both parties.

16. Miscellaneous

16.1 Entire Agreement

These Terms and any policies or operating rules posted by us on Aadi or in respect to Aadi constitute the entire agreement and understanding between you and us.

16.2 Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

16.3 Assignment

We may assign any or all of our rights and obligations to others at any time.

16.4 Severability

If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.

17. Changes to Aadi

We reserve the right to withdraw or amend Aadi, and any service or material we provide on Aadi, in our sole discretion without notice. We will not be liable if for any reason all or any part of Aadi is unavailable at any time or for any period.
